Legal Counsel – Corporate Governance

About the role

Revolut is seeking a Legal Counsel to lead corporate governance and compliance across its Lithuanian operations and other European entities. The role will provide expert legal advice, ensure alignment with local and EU regulations, and support the company’s rapid growth while maintaining robust governance standards.

Key responsibilities

• Provide corporate law and governance support to supervisory and management bodies in Lithuania and other EEA countries.
• Advise senior executives on local governance processes and ensure group‑wide alignment.
• Assist company secretaries with Lithuanian corporate law matters and governance principles.
• Draft and oversee execution of corporate documents such as shareholder resolutions, KYC filings, and statutory forms.
• Monitor compliance of Lithuanian entities and European branches with relevant legislation.
• Guide EU corporate structure set‑up, changes, and the EU Corporate Governance Framework.
• Develop and maintain governance policies, procedures, and road‑maps.
• Liaise with external parties including legal registers, notaries, and public institutions on behalf of Revolut’s Lithuanian entities.

Required profile

• Minimum 4 years post‑qualification experience (PQE) in corporate law or governance.
• Strong academic background and experience in a reputable law firm.
• Fluency in Lithuanian and English.
• Excellent judgement, composure under pressure, and collaborative mindset.
• Proven ability to make confident decisions and manage stakeholders at executive level.

Required skills

• In‑depth knowledge of Lithuanian corporate legislation and EU governance regulations.
• Experience drafting shareholder resolutions, KYC documents, and other corporate filings.
• Ability to interpret and apply corporate governance frameworks across multiple jurisdictions.
