Corporate Lawyer

About the role

We are looking for an experienced Corporate Lawyer to support Avia Solutions Group (ASG) PLC and its subsidiaries across multiple jurisdictions on corporate law and governance matters. This independent, high‑responsibility role requires strong judgment, attention to detail, and close collaboration with external counsel and internal teams.

Key responsibilities

• Draft and review Board and Shareholder resolutions, minutes, and other corporate documentation for the Group and its subsidiaries.
• Organise General Meetings of Shareholders (EGMs, AGMs) and Board meetings.
• Prepare Powers of Attorney, director/officer appointment and resignation documents.
• Liaise with external counsel and advisors, providing legal consultations on Lithuanian corporate law and Group Governance policy.
• Support share transfer, capital increase processes and draft related shareholder agreements.
• Ensure subsidiaries comply with the Group’s corporate governance standards.
• Coordinate registration of corporate documents in public registers and the Document Management System.
• Collaborate with internal departments and stakeholders across the Group.

Required profile

• University degree in Law.
• 3–5 years of experience in corporate law and/or corporate governance.
• Practical experience with Lithuanian corporate law and local registration procedures.
• Experience drafting Board/Shareholder resolutions and corporate documentation.
• Excellent command of English and Lithuanian, written and spoken.
• Ability to manage multiple projects/entities simultaneously and meet deadlines.
• Analytical mindset, strong attention to detail and sense of responsibility.
• Proven ability to collaborate effectively with international teams and external advisors.
