Chief Legal Officer (Head of Legal & Regulatory)

About the role

Finora Bank is seeking a Chief Legal Officer to serve as the principal legal adviser and lead all legal and regulatory affairs across its operations in Lithuania and Estonia. You will work closely with the CEO, Management Board, Supervisory Board and business leaders to ensure decisions are legally sound and commercially practical.

Key responsibilities

• Define and execute the legal strategy for the bank in both Lithuania and Estonia.
• Provide clear, commercially grounded legal advice to senior management and boards.
• Identify, assess and mitigate legal risks, preparing board‑ready recommendations.
• Develop and maintain legal policies, procedures, documentation standards and internal governance.
• Support regulatory inquiries, material incidents, organisational changes and licensing matters.
• Advise on corporate governance, company and labour law, shareholder matters and capital‑related actions.
• Draft, review and negotiate material agreements related to products, services, lending, partnerships and outsourcing.
• Oversee disputes, litigation and coordination with external counsel.
• Support employment, investor relations, financing and fit‑and‑proper assessments.

Required profile

• Extensive experience in banking or financial services legal and regulatory matters.
• Proven ability to advise senior executives and boards on complex legal issues.
• Strong understanding of corporate governance, licensing, and compliance frameworks.
• Excellent analytical, communication and negotiation skills.
