Corporate and M&A Associate

About the role

Ellex Valiunas, a leading Baltic business law firm, is seeking a motivated Associate to join its Corporate & M&A team. You will work alongside experienced lawyers on high‑profile local and cross‑border transactions, gaining hands‑on experience throughout the full transaction lifecycle.

Key responsibilities

• Assist on acquisitions, disposals, joint ventures, corporate restructurings and venture‑capital deals.
• Conduct legal due diligence and identify key legal risks.
• Draft and review transaction documents such as share purchase agreements and shareholders’ agreements.
• Support transaction structuring from initial stages through signing and closing.
• Advise clients on day‑to‑day corporate law and governance matters.
• Collaborate with international law firms, financial and tax advisers, and other transaction parties.
• Participate in client meetings and negotiations, gradually taking on greater responsibility.
• Contribute to the team’s legal knowledge base and business‑development initiatives.

Required profile

• 1–2 years of professional experience in corporate law, M&A or related transactional practice.
• University degree in Law.
• Strong interest or experience in M&A transactions, corporate law and investments.
• Proactive, detail‑oriented and eager to assume increasing responsibility.
• Team player comfortable collaborating across jurisdictions.
• Excellent communication and drafting abilities in English and Lithuanian.
• Solid understanding of Lithuanian corporate law and legal practice.

Required skills
