Legal Counsel – Corporate & Tax

About the role

IPRoyal is looking for an experienced Legal Counsel to manage corporate and tax matters for its multi‑jurisdictional group. You will work closely with the legal, finance, product and sales teams, handling both day‑to‑day casework and proactive risk identification.

Key responsibilities

• Manage the entity lifecycle across multiple jurisdictions, including director, shareholder and UBO changes, register updates and corporate approvals such as dividends, loans and IP transfers.
• Draft, maintain and align intragroup agreements (services, IP licensing, loans) with the group’s transfer‑pricing position together with finance and tax advisors.
• Coordinate external counsel, tax advisors and corporate service providers, scope work and review deliverables.
• Support the group’s tax matters, including VAT/tax registrations, filings, and responding to sales‑team requests for tax documentation.
• Analyse withholding tax, permanent establishment and economic substance issues across relevant jurisdictions.

Required profile

• Master’s degree in law.
• Minimum 5 years of experience in corporate law with cross‑border group structures.
• Familiarity with transfer pricing and ability to work with tax advisors on cross‑border VAT questions.
• Proven experience coordinating external advisors across multiple jurisdictions.
• Fluent English and strong drafting skills for agreements, minutes and resolutions.
